How to quickly, simply and cost-effectively increase your US exposure

In the last 18 months, the number of Canadian listed companies who trade in the US on the OTCQX and OTCQB markets has increased by 50%. More than 1,000 Canadian listed companies now trade on the OTC premium markets to increase liquidity, gain exposure to a larger and more diverse investor base, and to maximize access to the world’s largest retail audience.

The amendment to SEC rule 15c2-11, which took place on September 28th, 2021, has codified standards that OTC Markets Group has developed and strengthened over the past 15 years, including best practice disclosure standards for the premium OTCQX and OTCQB Markets.

Sarah Morrison brings Grove her 20+ years of experience in the financial services industry. Throughout her career, Sarah has provided services to numerous publicly listed companies throughout multiple sectors and has been responsible for all aspects of public company administration, compliance reporting, corporate governance, mergers and acquisitions, as well as financings. Most recently Sarah acted as Managing Director of a securities transfer agency and business solutions firm in Toronto, Canada. Under Sarah’s leadership, the business was transformed into a highly successful operation servicing several hundred public and private issues.

Jenna Kaye

CEO, Odyssey Trust Company

Jenna Kaye is the CEO of Odyssey Trust Company, a North American transfer agent and trust company with offices in Calgary and Vancouver, and co-agents in Toronto and St. Paul, MN. She is also the Co-Founder and Chair of Tetra Trust, Canada’s first regulated crypto custodian, a Co-Founder of Axis Connects, a Calgary-based non-profit committed to increasing diversity on boards and in the c-suite, and a Principal of Icebook Investments, a family run office that’s focused on early-stage businesses across a wide range of industries including renewable energy, real estate and fertility. Jenna has an MBA/LLB from Dalhousie University and practiced law at a national law firm.

Chris King leads the International Corporate Services group at OTC Markets and has personally been involved with more than 2,000 companies cross-trading in the US on the OTCQX and OTCQB markets in New York. Chris began his tenure at OTC Markets Group in 2014 working with smaller U.S. companies helping them implement best practices and supporting private companies interested in going public. Since 2017 Chris has focused on assisting international companies increase US investor engagement and achieving fair valuation. Prior to OTC Markets Group, Chris spent 15 years in various roles at DF King Worldwide, Capital Precision and Precision IR, helping hundreds of multinational blue-chip companies achieve their corporate objectives.



Nicholas has recently joined Grove and has 10 years’ experience in the areas of investor relations, marketing and corporate development. Nicholas specializes in advising private start-up and public junior/micro cap companies.



Jessica has worked for Grove for 12 years, serving in the areas of finance, administration and investor relations. Based in the United Kingdom, Jessica manages relationships in the UK and Europe, as well as providing hands-on accounting management to several Grove clients. Jessica is an honours graduate of the University of Calgary and is proficient in written and oral communications, accounting (SAGE and QuickBooks) and corporate affairs.



Catherine has worked for Grove for over ten years, as Manager of Corporate Affairs. She holds a degree in geology from the University of Toronto and is a highly experienced Corporate Secretary. For the past 15 years, she has provided corporate secretarial and administrative management services to numerous publicly-listed companies on the TSX, CSE and ASX, as well as private small-cap and exploration companies. Catherine’s familiarity with National Instrument and JORC policies of Canada and Australia enables her to ensure that companies avoid any potential pitfalls of non-compliance with their regulatory and corporate filings, in a cost efficient manner.



Stephen started the Corporate Services arm of Grove in 2018 and is founder and Principal of Grove Capital Group, a merchant banking group specializing in the incubation and development of entrepreneurial businesses. He has spent over 20 years in the small-cap and natural resources sectors in Canada, the US and the United Kingdom. He has served as Chairman or CEO of numerous public companies and currently serves as advisor to and/or director of, several public and private small-cap companies. Stephen specializes in financial structuring, business development, communications and market finance, thereby creating successful strategic relationships. A graduate of Kings College at Western University in London, Canada, Stephen serves as a Trustee of Lakefield College School and works extensively with several charitable and not-for-profit organizations in Canada and the UK.
